1. Agreement
These Terms of Use (“Terms”) govern your access to and use of the website located at cogninarrative.pro (the “Site”), operated by CogniNarrative Inc. (“CogniNarrative,” “we,” “us,” or “our”), a corporation with a place of business at 40 King Street West, Suite 3300, Toronto, ON M5H 3Y2, Canada. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Separate written agreements govern paid consultancy engagements. Where a signed statement of work conflicts with these Terms regarding project delivery, the statement of work prevails for that engagement only.
2. About the Site
The Site provides general information about CogniNarrative’s AI consultancy services related to knowledge management, communication workflows, retrieval-augmented generation, and responsible deployment of large language models for Canadian organizations. Content is informational and does not constitute a binding offer until confirmed in a signed proposal or contract.
3. Permitted use
You may view, download, and print Site content for personal or internal business evaluation purposes, provided you do not modify materials, remove proprietary notices, or use content in a misleading manner. You may link to public pages using a fair and accurate description of CogniNarrative.
4. Prohibited conduct
You agree not to:
- Use the Site in violation of applicable law
- Attempt unauthorized access to systems, accounts, or data
- Introduce malware, automated scraping at abusive rates, or denial-of-service traffic
- Submit false information through the contact form or impersonate others
- Harvest email addresses or personal data from the Site for unsolicited marketing
- Frame or mirror Site content without written permission
- Use Site content to train competing models or datasets without authorization
5. Intellectual property
All text, graphics, logos, layout, and software on the Site are owned by CogniNarrative or licensed to us and protected by copyright, trademark, and other intellectual property laws. “CogniNarrative” and associated branding are trademarks of CogniNarrative Inc. No licence is granted except as expressly stated in these Terms.
6. AI and informational disclaimers
Articles, case sketches, FAQ entries, and service descriptions may reference AI tools such as ChatGPT, Microsoft Copilot, Claude, or retrieval-augmented generation architectures. Examples are illustrative. We do not warrant that any described approach will achieve specific results in your environment.
Nothing on this Site is legal, medical, financial, or professional advice. Deployments of AI systems in regulated contexts require independent review by qualified professionals in your jurisdiction. CogniNarrative is a consultancy; operational responsibility for production AI systems rests with the client organization unless otherwise agreed in writing.
7. Third-party tools and links
The Site may reference or link to third-party products, documentation, or websites. We do not control and are not responsible for third-party content, availability, or privacy practices. Your use of third-party services is subject to their terms.
8. Contact form
Submitting the contact form does not create a client relationship. We may decline engagements at our discretion. You represent that information you provide is accurate and that you have authority to submit it. Spam submissions and honeypot triggers may be discarded without response.
9. Privacy and cookies
Personal information collected through the Site is handled according to our Privacy Policy. Cookies and local storage are described in our Cookie Policy. By using the Site, you acknowledge those policies.
10. Availability and changes
We strive to keep the Site available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue pages or features without notice. We may update these Terms by posting a revised version with a new “Last updated” date. Material changes may be noted on the Site. Continued use after changes constitutes acceptance.
11. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CONTENT IS COMPLETE, CURRENT, OR ERROR-FREE.
References to AI tools, LLMs, RAG architectures, or vendor products on the Site do not imply endorsement, partnership, or availability of those products in your jurisdiction. Verify licence terms directly with vendors before procurement.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COGNINARRATIVE INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SITE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100), EXCEPT WHERE LIABILITY CANNOT BE EXCLUDED BY LAW.
13. Indemnity
You agree to indemnify and hold harmless CogniNarrative from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Site, violation of these Terms, or infringement of third-party rights through your conduct.
14. Feedback and user content
If you send suggestions, ideas, or feedback about our services or the Site, you grant CogniNarrative a non-exclusive, royalty-free licence to use that feedback for business purposes without obligation to compensate you. Do not submit confidential or proprietary information through unsolicited email unless covered by a mutual non-disclosure agreement.
15. Export and sanctions
You represent that you are not located in, under the control of, or a national or resident of any country subject to comprehensive Canadian or international sanctions, and that you are not listed on any denied-party list. We may restrict access where required by law.
16. Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets with notice where practicable.
17. Force majeure
We are not liable for delays or failures caused by events beyond reasonable control, including internet outages, hosting provider incidents, natural disasters, labour disputes, or government actions. We will use reasonable efforts to restore Site availability when disruptions occur.
Scheduled maintenance may temporarily limit access. Where practicable, we perform maintenance during low-traffic windows and avoid unnecessary downtime during Canadian business hours.
18. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You attorn to the exclusive jurisdiction of the courts located in Toronto, Ontario, for disputes arising from these Terms or Site use, except where consumer protection rules require otherwise.
19. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
20. Entire agreement for Site use
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and CogniNarrative regarding Site use and supersede prior understandings on that subject.
No waiver of any term is effective unless in writing signed by CogniNarrative. Failure to enforce a provision on one occasion does not waive our right to enforce it later.
Headings are for convenience only and do not affect interpretation.
